3. Engagement Terms

3.1 Scope and agreement

Each advisory engagement begins with a written scope of work agreed between Calluna and the client. Services are delivered based on that agreed scope. Changes to scope during an engagement require mutual written agreement.

3.2 Fees and payment

Fees for each service are stated in the scope of work document. Payment terms are outlined per engagement. Invoices are payable within 14 days of issue unless otherwise agreed. Prices displayed on this website are indicative and subject to confirmation in writing.

3.3 Rescheduling and cancellation

Sessions may be rescheduled with at least 48 hours' notice at no charge. Cancellations made with less than 48 hours' notice may result in the session being counted as used. Full cancellation of an engagement is addressed in the terms of each individual scope of work.

4. Intellectual Property

All materials, frameworks, tools, and written deliverables produced by Calluna during an engagement remain the intellectual property of Calluna unless otherwise agreed in writing. Clients are granted a non-exclusive licence to use deliverables within their organisation for the purpose for which they were created.

You may not resell, sublicence, or distribute Calluna's materials to third parties without written permission.

5. Confidentiality

We treat all client information with discretion. Information shared with us during an engagement is not disclosed to third parties without your consent, except where required by law.

We ask that clients also treat our proprietary methodologies, frameworks, and tools as confidential. We will always clarify what is proprietary before an engagement begins.

6. Limitation of Liability

Calluna provides advisory services in good faith and with reasonable care and skill. We cannot accept responsibility for outcomes that depend on decisions made by your organisation based on our input. The value of advisory work lies in the quality of the thinking and facilitation we bring — it does not constitute a performance commitment tied to commercial results.

To the extent permitted by Malaysian law, our liability for any claim arising from a service engagement is limited to the fees paid for that engagement.
